Company Secretary
InsuranceDekho is looking for a qualified Company Secretary with minimum 4 years of experience with secretarial work.
4 - 7 years
Any graduation, or Any PG
Advising on good governance practices and compliance of Corporate Governance norms as prescribed under various Corporate, Securities, and Other Business Laws
Assists in developing a corporate and social sustainability framework
Handles the promotion, formation, and incorporation of companies and matters related therewith
Responsible for filing, registering any document including forms, returns, and applications by and on behalf of the company as an authorized representative
Coordinate the board/general meetings and follow-up actions thereof
Listing of Debentures and related compliances
Manage all tasks relating to Securities and their transfer and transmission
Acts as the custodian of corporate records, statutory books, and registers
Managing the Secretarial Audit
Signing of Annual Return where necessary and responsible for other declarations, attestations, and certifications under the Companies Act, 2013
Advises on Compliance of legal and procedural aspects under various corporate laws and acts particularly relating to Insurance Regulatory and Development Authority of India, Securities and Exchange Board, Foreign Exchange, Mergers and Acquisitions, Foreign Collaborations and JV’s, subsidiaries
To involve himself/herself in Public Issue, Listing and Securities Management depending on Company Strategy
Responsible for compliance with rules and regulations in the securities market and SEBI related compliance
Company Secretarial Work, Legal Contract Review, Compliance Advisory, General Legal, Legal Advisory, Company Law,
A Qualified CS
Strong understanding of Company Law, Rules, Secretarial Practices, and other Corporate Laws. Exposure to requirements of regulators such as IRDAI, SEBI, RBI would be desirable
Between 4 to 8 years of hands-on experience as Company Secretary, independently handling the profile of a Company Secretary
Strong analytical and problem-solving skills and can thrive under pressure
Good interpersonal skills and people management skills
Exceptional communication (both written and verbal) skills;
